BIDHIT Terms of Service

Chapter 1 General Provisions

  1. Application of Terms

    These BIDHIT Terms of Service (hereinafter referred to as "these Terms") shall apply to information provision through the website operated by BIDHIT Inc. (hereinafter referred to as "the Company") and all services provided by the Company to users in connection therewith (hereinafter referred to as "the Service").

  2. Service Content

    The Service includes the following services. The Company may change the content of the services provided without the consent of users.

    1. Services that provide information on real estate subject to real estate auction procedures (hereinafter referred to as "auction properties") in connection with real estate auction procedures executed by courts based on Japan's Civil Execution Act (Law No. 4 of 1979) and other laws (hereinafter referred to as "auction procedures")
    2. Services that conduct investigations of auction properties
    3. Services that act on behalf of users to submit purchase applications and pay purchase prices in auction procedures
    4. Services incidental to the preceding items
  3. Notifications Regarding the Service

    The Company shall notify users of matters concerning the Service through online displays or other methods deemed appropriate by the Company. Such notifications shall take effect from the time the Service displays the content of such notifications online.

  4. Intellectual Property Rights

    Information provided through the Service (including video, audio, text, photographs, and software) shall be protected by copyright, trademark rights, patent rights, or other intellectual property rights and laws.

  5. Prohibited Acts

    Users shall not engage in the following acts when using the Service:

    1. Altering or deleting information available through the Service, or transmitting or posting false information.
    2. Infringing or potentially infringing on the copyright, trademark rights, or other intellectual property rights of other users, third parties, or the Company.
    3. Discriminating against, defaming, or damaging the honor or credit of other users, third parties, or the Company.
    4. Infringing or potentially infringing on the property, privacy, portrait rights, or publicity rights of other users, third parties, or the Company.
    5. Sending unsolicited advertising, promotional, or solicitation emails to other users, third parties, or the Company; sending emails that cause disgust to recipients; interfering with others' email reception; requesting chain mail forwarding; or forwarding in response to such requests.
    6. Acts leading to fraud or other crimes.
    7. Establishing or soliciting for endless chain schemes (pyramid schemes).
    8. Transmitting or posting obscene or child abuse images or documents.
    9. Election campaigning or similar acts, or acts violating the Public Offices Election Act.
    10. Using, providing, or recommending harmful programs such as computer viruses.
    11. Impersonating other users or third parties when using the Service.
    12. Attempting unauthorized access to other computer systems or networks connected to the Service.
    13. Other acts that violate laws or public order and morals (prostitution, violence, cruelty, etc.) or cause disadvantage to other users, third parties, or the Company.
    14. Acts that encourage the acts specified in the preceding items.
    15. Other acts deemed inappropriate by the Company.
  6. Suspension of Service Provision

    The Company may temporarily suspend the provision of the Service without prior notice to users in any of the following cases:

    1. When the Company deems it necessary for maintenance or construction of equipment related to the Service
    2. When the Company deems it necessary due to failures in equipment related to the Service
    3. When the Company decides so for operational or technical reasons
  7. Termination of Service
    1. The Company may terminate the Service or parts of the Service for users after providing reasonable advance notice to users.
    2. The notice in the preceding paragraph shall be given by posting on the website and sending emails to users who use the email service provided by the Service.
    3. After notifying users according to paragraph 1, if the Company terminates the Service, the Company shall be exempt from liability for damages, losses, or other costs incurred by users due to the termination of the Service.
  8. User Responsibility

    If users cause damage to the Company or third parties through the use of the Service, or if disputes arise with third parties, users shall resolve such matters at their own responsibility and expense.

  9. Equipment

    Users shall install all computers, software, communication equipment, and all related equipment used by them at their own expense and responsibility. Users shall also use the Service after receiving internet connection services from internet service providers at their own expense.

Chapter 2 Accounts and User Registration

  1. Provision of Service Through Accounts

    The Company provides all or part of the Service through accounts opened for users registered by the Company (hereinafter referred to as "registered users"). Users who wish to become registered users shall apply to the Company by entering specified information in the registration form. The Company shall register and open accounts when deemed appropriate.

  2. Account Usage Eligibility

    Accounts may only be used by the registered users themselves and cannot be lent or transferred to third parties.

  3. Usage Fees

    Registered users shall pay the specified usage fees to the Company upon registration application and registration renewal. Usage fees will not be refunded for any reason.

  4. Changes to Registered Information

    Registered users must promptly notify the Company of any changes to their registered name, address, telephone number, email address, etc. If notifications or documents from the Company are delayed or do not arrive due to lack of such notification, they shall be deemed to have arrived when they normally should have arrived.

  5. Withdrawal

    Registered users may withdraw using the Company's specified method. The Company may also cause users to withdraw if they fall under any of the following cases. In such cases, the Service provided by the Company through accounts shall be immediately suspended:

    1. When it is discovered that a registered user made false declarations at the time of registration application
    2. When a registered user violates these Terms or fails to fulfill obligations to the Company
    3. When the Company determines that there has been a significant change in a registered user's credit status or that the account usage situation is inappropriate

Chapter 3 Information Provision Services

  1. Accuracy of Information and Limitation of Company Liability

    Information and materials provided by the Company regarding the Service are merely provided for users' reference convenience from third-party disclosure materials, and the Company does not guarantee the accuracy of their content. Information and materials provided in languages other than Japanese regarding the Service are merely automatic translations of third-party disclosure materials, and the Company does not guarantee the quality and accuracy of translations. Except in cases of the Company's intentional acts, the Company shall not bear any responsibility for damages incurred by users through the use of such information and materials.

  2. Prohibition of Providing Data and Materials

    Users are prohibited from providing information, materials, and their translations provided by the Company to third parties, regardless of whether they are provided exclusively to registered users.

Chapter 4 Property Investigation Services

  1. Property Investigation

    When users request property investigations or auction bidding property investigations, they shall make property investigation requests to the Company in writing through specified procedures, and the Company shall commence property investigations after confirming payment from users. After investigation commencement, property investigation fees will not be refunded for any reason.

Chapter 5 Bidding Agency Services

  1. Bidding on Auction Real Estate

    When users wish to use bidding agency services, they shall determine bid prices based on their own collected information, and the Company shall bear no responsibility for the success or failure of winning bids.

  2. Sending Required Documents for Bidding

    When users wish to use bidding agency services, they shall send documents specified by the Company as necessary for bidding to the Company. If such documents do not arrive at the Company by the specified deadline or if there are deficiencies in the document content, the Company shall have no obligation to act as a bidding agent and shall not be obligated to compensate for damages incurred by users as a result.

  3. Transfer of Bidding-Related Costs
    1. When users wish to use bidding agency services, they shall transfer the purchase application deposit and bidding agency fees in amounts specified by the Company to the Company's designated bank account. If such amounts do not reach the Company's account by the specified deadline, the Company shall have no obligation to act as a bidding agent and shall not be obligated to compensate for damages incurred by users as a result.
    2. Regarding purchase application deposits paid by users according to the preceding paragraph, the Company shall promptly refund such amounts to users after deducting necessary expenses only when it can be confirmed that users did not receive sale permission decisions and the court has refunded the amounts to the Company.
    3. Regarding bidding agency fees paid by users according to paragraph 1, the Company shall have no obligation to refund them for any reason after commencing bidding agency services.
  4. Payment Procedures

    When users obtain sale permission decisions for auction properties, they shall send documents specified by the Company as necessary for payment to the Company and transfer remaining amounts and success fees in amounts specified by the Company to the Company's designated bank account. If such documents do not arrive at the Company by the specified deadline, if there are deficiencies in document content, or if such amounts do not reach the Company's account, the Company shall have no obligation to act as a payment agent and shall not be obligated to compensate for damages incurred by users as a result.

  5. Court Decisions

    The Company shall bear no responsibility for court decisions regarding the content of documents sent by users for bidding and payment or users' qualifications as purchasers. The Company shall also bear no responsibility for user damages caused by errors in user registration information.

  6. Defects in Auction Real Estate

    The Company shall bear no responsibility for any defects in auction properties acquired by users, regardless of consistency with information and materials provided by the Company. The Company shall also have no obligation to deliver possession of auction properties acquired by users to users.

Chapter 6 Miscellaneous Provisions

  1. Changes to Terms

    The Company may add new provisions or make changes to these Terms without requiring user consent. New provisions added or changed shall also constitute part of these Terms. Unless otherwise specified by the Service, amended Terms shall take effect from the time they are displayed online.

  2. Governing Law

    These Terms shall be governed by Japanese law.

  3. Agreed Jurisdiction

    All disputes concerning these Terms and the Service shall be subject to the exclusive agreed jurisdiction of the Tokyo District Court.
